Terms and Conditions

 

Machine To Machine (M2M)

  1. The M1 Limited (M1) M2M service (“Service”) is only open to corporate customers (“Customers”). To be eligible for the Service, Customers must have a valid Business Registration Number (“BRN”) and Customers must not have any outstanding accounts with any entity forming the M1 Group of Companies.

  2. Customers who sign up for the Service must complete our application form for the Service and fulfil a minimum commitment period of six (6) months ("Contract Period"). M1 reserves the right to decline any application forms at M1’s discretion.

  3. The Service is meant for business use for M2M solutions only. M2M plans are not eligible for subscription with promotional device prices on 2-year device contracts.

  4. Charges applicable for the Service are as stated in the proposal, and include:
    1. SIM card fee;
    2. Service access fee;
    3. APN fee;
    4. M2M Service Plan subscription fees for:
      1. Pay per use local and roaming data or SMS;
      2. Standalone local data packs; and
      3. Pooled local data packs.

  5. Charges will not be pro-rated.

  6. Corporate customers must subscribe to the M2M Service for an agreed contract period (“Contract Period”). If, during the Contract Period:
    1. the customer downgrade their existing bill plan to a lower tier bill plan; or
    2. the customer prematurely terminates the subscription to the M2M Service; or
    3. the customer’s subscription is terminated by M1 due to payment default or any breach;
    the customer shall pay M1 based on the following:

  7. Upon expiry of the Contract Period, the Services shall continue on a month-to-month basis on the same terms and conditions and at prevailing Charges, unless otherwise agreed by M1 in writing.

  8. Without prejudice to M1’s General Terms and Conditions and subject to these Terms and Conditions, either party may terminate this Agreement upon giving at least 30 days’ prior written notice to each other.

  9. In the event that M1 terminates the Services for lawful reasons in relation to Customer’s default, or the Customer prematurely terminates the Service before the expiry of the Contract Period, early termination charges and other Charges (where applicable) shall apply as stated in Clause 6.

  10. All Services shall be activated from M1’s M2M online portal for service management ("M2M Portal"). M1 reserves the right to add, remove or change any service features on the M2M Portal from time to time. Such changes will be informed to Customers via the M2M Portal.

  11. The Customer is responsible for:
    1. the security of his account information, including without limitation, User IDs and/or passwords in relation to the Service. In the event of any compromise in the security of the User IDs and/or passwords, the Customer must inform M1 immediately. Until such notification is made, the Customer shall be responsible for all consequences arising from any unauthorized use of the Service;
    2. the use of the Service under his account and for any content which is disseminated through his account. The Service should not be used to send content that may be libelous or obscene, or cause irritation, annoyance, embarrassment, nuisance or harassment to anyone. The Customer shall use the Service for lawful purposes only, in accordance with the terms and conditions herein and any other applicable laws and regulations; and
    3. the installation, configuration, operation and maintenance of all hardware/devices for use with the Service.
       
  12. The Customer shall provide any information as may be required by M1 for the activation and/or deactivation of the Services.

  13. The Customer acknowledges that M1 shall have the right (but not the obligation) to monitor any and all transmissions via the Service. The Customer further acknowledges and agrees that M1 shall have the right and sole discretion to block, filter, remove, limit, delete or modify any material or content transmitted by the Customer through access and use of the Service in the event that such material or content violates any of the terms and conditions herein. M1 shall further have the right and sole discretion to immediately cease transmissions via the Service in the event of excessive transmissions by the Customer. M1 will make reasonable efforts to notify the Customer but in no event shall M1 be liable for not transmitting any transmissions via the Service. This is without prejudice to M1's rights to suspend or terminate the Service, and to take all action and claim the rights and remedies available to it at law or in equity.

  14. M1 may at any time with or without notice to the Customer, temporarily suspend the Service for operational reasons, including without limitation, maintenance, upgrade or improvement of the Service. In such event, the Service will be restored as soon as reasonably practicable.

  15. M1 shall not be liable for any content that are not delivered to, or received by the intended recipient(s). The Service is provided by M1 on a best effort basis and the Customer uses the Service at his own risk. M1 does not warrant that the Service will be uninterrupted and/or error-free. M1 does not guarantee the availability or continuity of the Service at all times at all areas. M1 expressly disclaims all warranties of any kind, whether express or implied, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose and non-infringement, to the fullest extent permissible under applicable laws.

  16. M1 shall not be responsible for any interruption, disruption to or deterioration in the quality, reliability or accuracy of the Service or for any technical issues that may arise from or in relation to any hardware that Customer may have in use with the Service or for any failure to comply with specific instructions for storage installation and the use of SIM cards which shall be made known by M1 to Customer from time to time.

  17. M1 shall not be responsible for any loss or corruption of any data, including without limitation, information that is uploaded onto the M2M Portal by Customers or used, accessed or obtained by Customers through their use of the Service. Customers are solely responsible for ensuring that they have a backup copy of all data that they have uploaded onto the M2M Portal, including without limitation all contact information.

  18. Connectivity services are subject to network availability, device capability and other conditions. Service speed might vary depending on coverage, location, devices used, network traffic and the type of data being transmitted. Any data usage outside of Singapore shall not be included in the data bundle offered in the respective M1 M2M Service Plans.

  19. To the fullest extent permissible under applicable laws, in no event shall M1 be liable for any costs, losses, liability or damage (whether direct or indirect) or for any incidental, consequential, special, or punitive damages or for any loss of revenue, business, profits or goodwill (even if M1 has been advised of the possibility of such damages), however caused, arising from or relating to the Service, including but not limited to damages arising from (a) loss of or damage to data; (b) violation of these terms and conditions; (c) the use or performance of the Service; or (d) failure of the Service herein.

  20. M1's General Terms and Conditions published at www.m1.com.sg and any other terms and conditions applicable for the provision of the Service as may be agreed between Customer and M1 are deemed incorporated herein and shall apply. In the event of any conflict or inconsistency in relation to any of the terms, such conflict or inconsistency shall in the absence of any express agreement to the contrary, be resolved in a manner most favourable to M1, to the fullest extent permissible under applicable laws.
